These Terms of Service (the "Terms") outline the terms under which GAPA Software Private Limited (“We,” “Our,” “Us”) provides an individual or entity that purchases our Service(s) and/or creates an Account with Us, and their Users, access to and use of Our Service(s) (“You,” “Your,” “Yourself”). By accessing and/or using Our Service(s)

(b) You confirm that “You” are legally competent to enter into this agreement
(c) if “You” are entering into these Terms on behalf of any entity/company or group, You have the requisite authority to bind such entity, company, or group to these Terms. If you do not agree to these Terms, You should immediately stop using our Service(s).
2.1. Subject to Your compliance with these Terms and solely during the Subscription Term, You are granted a limited, non-exclusive, revocable right to access and use the Service(s) for your internal business purposes, according to the Subscription Plan (“Subscription Plan" refers to the plan on Our Website outlining pricing, features, and usage limits) as stated on Our Website.
3.1. Your Account: Your access and use of the Service(s) is limited to the usage specified in Your Subscription Plan. Each User will be assigned unique login credentials (“User Login”), and each Login is to be used by one individual only.

3.4. You represent and warrant that "You" have obtained all necessary authorizations, approvals, and permissions from Users and others interacting with Users when using Third-party Service(s) for Us to Process Service Data.
3.5. You affirm that entering into these Terms and performing obligations does not violate any other agreements you are a part of, including with Third-party Service(s).
4.1. Our Website may offer a trial of the Service(s) through account creation for limited use ("Trial Period"). The Trial Period will follow these Terms and any additional terms specified by Us. We reserve the right to terminate the Service(s) and Your right to use them during the Trial Period at any time, without liability.
4.2. Any updates, enhancements, or new features to the Service(s) ("Updates") will be subject to these Terms, and We reserve the right to implement them at any time.
4.3. The Service(s) may be temporarily unavailable for scheduled maintenance, and We will make commercially reasonable efforts to notify You in advance.
5.1. Except for rights explicitly granted in Clause 1, all intellectual property rights related to the Service(s), including patents, trademarks, copyrights, and trade secrets, remain exclusively with Us.
5.2. You retain ownership of the Service Data you provide but grant Us a royalty-free license to use this data solely for providing, supporting, and improving the Service(s).
5.3. We have the right to incorporate any suggestions or feedback, you provide into the Service(s).
5.4. All rights not expressly granted to you are reserved.
6.1. The Service(s) may integrate with Third-party Service(s), and Your use of these will be subject to the terms and conditions of those third parties. We are not liable for your use of such third-party services, including any data they process.
6.2. When You authorize integration with Third-party Service(s), You grant Us permission to access, store, and process data from those Third-party Services according to these Terms.
6.3. You are responsible for authorizing the integration of Third-party Service(s) and ensuring accurate data transmission through the Service(s).
7.1. Subscription Charges: Charges for Your Account are based on the Subscription Plan ("Subscription Charges"), due in full and payable in advance as per Clause 6.3 upon subscribing.
7.2. Renewal: Your subscription will automatically renew for a Subscription Term of equal length at the prevailing Subscription Charges unless terminated.
7.3. Payment: You authorize Us or our agents to bill You for the Service(s) upon subscription and for any renewals as per Your Subscription Plan. We are using Razorpay as our payment gateway, you can refer to the privacy policy and terms of service of our gateway for more

7.5. Taxes: Subscription Charges include all applicable taxes, levies, or duties unless otherwise stated.
The Subscription Term is specified in the Subscription Plan.
8.1. Termination by You: You may terminate Your Account if We materially breach these Terms. You must notify Us of the breach and provide 30 days for us to rectify it. We will issue a pro-rated refund for any unused portion of the Subscription Term.
8.2. Suspension/Termination by Us: We may suspend or terminate Your access to the Service(s) for non-payment, violation of these Terms, or if We believe the breach cannot be cured within the Cure Period. Trial Periods can be terminated as specified in Clause 4.1.
8.3. Insolvency: Either Party may terminate these Terms if the other Party becomes insolvent or is subject to bankruptcy or similar proceedings.
8.4. Effect of Termination: Upon termination, Your access to the Service(s) will end. We will retain Service Data for 26 months from the termination date ("Data Retention Period") before it is deleted.
9.1. Security Credentials: You must keep any user identification, passwords, or other security-related information confidential and not disclose it to third parties. We may disable any credentials if You fail to comply with these Terms.
9.2. Confidential Information: Both Parties will protect each other's Confidential Information with reasonable care. We will use Confidential Information solely for the purposes of fulfilling our obligations under these Terms.
9.3. Data Processing: We will process Personal Data solely as Your data processor, in accordance with these Terms and applicable laws.
9.4. No Data Sale or Unauthorized Use: We will not sell, retain, or disclose the Personal Information we process on Your behalf for any purposes other than providing the Service(s).
9.5. Compliance and Cooperation: We will cooperate with You to respond to requests from data subjects or regulatory authorities related to data processing.
10.1. Service Performance: We warrant that the Service(s) will perform in all material aspects according to the documentation.
10.2. "As Is" Basis: The Service(s) are provided "as is" and "as available," without warranties, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
10.3. No Guarantee of Uninterrupted Access: We do not guarantee that access to the Service(s) will be uninterrupted, error-free, or free from viruses.
11.1. Indemnification by You: You will indemnify Us against any third-party claims arising from Your breach of these Terms.
11.2. Indemnification by Us: We will defend and indemnify You against third-party intellectual property claims arising from Your use of the Service(s), provided the claim does not arise from Your unauthorized use, modifications, or combination of the Service(s).
12.1. Entire Agreement: These Terms, including all incorporated policies, represent the entire agreement between the Parties and supersede any prior communications.
12.2. Independent Contractors: The relationship between the Parties is that of independent contractors, not partners or agents.
12.3. Assignment: You may not assign these Terms without Our consent, except within Your group companies.
12.4. Force Majeure: We are not liable for service interruptions caused by events beyond Our control.
12.5. Governing Law & Arbitration: These Terms are governed by Indian law, and any disputes will be settled through arbitration in New Delhi, India.
12.6. Marketing Rights: You grant Us a royalty-free license to use Your logo or trademark to identify You as a customer.
12.7. Notices: Notices will be provided to You via email or courier to the contact address You provide.
12.8. Survival: Clauses that by nature should survive, such as confidentiality, limitations of liability, and indemnification, will survive termination of these Terms.
